The following terms and conditions (hereinafter referred to as “Terms”) form part of the agreement between you and UAB Molecule data, a company established in Lithuania under the company number 305971683, with its registered office at Zvalgu g. 7-2, LT-08337 Vilnius, the Republic of Lithuania (hereinafter referred to as “Molecule”, “we”, “our” or “us”), the operator of a platform that provides you (hereinafter referred to as “you”, “your” or “User”) access to our website (hereinafter referred the “Website”), app (hereinafter referred the “App”) and services (hereinafter referred to as “Services“).
These Terms regulate order for the use of the Molecule Services. You must read and understand the present Terms in conjunction with our Privacy Policy before using Molecule Services. If you are not sure whether you understand all aspects of these documents, please contact us at info@moleculedata.com, and we will try to explain the aspects that are not clear to you.
You may only set up a User account with the Molecule if you agree to these Terms. If you do not agree to these Terms, you may not create a User account on the Website.
We may change these Terms from time to time. If we do, we will let you know about any material changes, either by notifying you on the Website or app or by sending you an email. New versions of the Terms will never apply retroactively — we will tell you the exact date they go into effect. If you
keep using Molecule after a change, which means you accept the new Terms.
Subject to the Terms, the User is granted a non-exclusive, limited, non-transferable, freely revocable license to use the Services. Molecule has the right to terminate this license at any time for any reason or no reason.
The User must be at least 18 years old if he/she wants to use the Molecule Services. If the User is under 18 years old, usage of the Molecule Services requires the consent of her/his legal guardian.
In order for you to use our Services, we need to collect and process some personal information. Depending on your use of the Services, that may include, but is not limited to:
your name;
gender;
date of birth;
email address;
phone number;
further information required to verify your identity.
The information provided must be true, accurate, current, and complete, as requested. You agree to update the signup data to keep it current and accurate. If Molecule determines you are signing up with purposely incorrect information, we reserve the right to close your account. Knowingly submitting incomplete or inaccurate information will result in immediate termination of your account.
If you purchase our Services, you may be required to agree to separate Terms and Conditions that are applicable to the specific product and services. Such separate Terms and Conditions (if any) will have customer-specific provisions and will override any conflicting terms in this Agreement.
The default subscription term is monthly, subject to any overriding terms and conditions agreed upon and applied separately.
Payment shall be made until the provision of Service. The default payment period is one month. However, a separate service term can be agreed upon. Payment methods are by credit (debit) card processed via Stripe.
Molecule fees are indicated at www.molecule-data.com/pricing, and are generally due in Euros. The fees are subject to change occasionally and will be updated on our Website. Molecule and User can agree on different Services fees.
Molecule can terminate Services immediately if the User does not pay subscription fees.
We refund Users only if we terminate our Services without cause before the end of the subscription period that you have paid. There is no other circumstance in which you will be entitled to a refund from us.
We may, at our sole discretion, offer refunds in other situations in accordance with this Terms, which may be changed from time to time. In any case, the refund can only be made within 30 days from the last transaction date.
Molecule does not own the content you submit to us. By sharing the Content with us, you are giving us permission to use or copy it however we need to run the Services. Such Content can be personal data, cost data, shipping information, spending data, comments, questions, search queries, and others (the “Content”).
Molecule uses above mentioned Content for our Services. For instance, by creating graphics, developing AI learning algorithms, and developing new products and services. Also, the user content can be used to improve Molecule Services.
Although Molecule does not own the Content you share with us, we do need certain licenses from you to perform our Services. Therefore, you agree to these terms:
We can use your submitted content. You grant to us and others acting on our behalf the worldwide, non-exclusive, perpetual, irrevocable, royalty-free, sublicensable, transferable right to use, exercise, commercialize, and exploit the copyright, publicity, trademark, and database rights with respect to your Content.
When we use the content, we can make changes, like editing or translating it. You grant us the right to edit, modify, reformat, excerpt, delete, or translate any of your Content.
You will not submit the Content you do not hold the copyright for (unless you have permission). Your Content will not contain third-party copyrighted material or material subject to other third-party proprietary rights unless you have permission from the rightful owner or you are otherwise legally entitled to post the material (and to grant Molecule all the license rights outlined here).
You promise that if we use your Content, we are not violating anyone’s rights or copyrights. Suppose Molecule or its users exploit or make use of your submission in the ways contemplated in this agreement. In that case, you promise that this will not infringe or violate the rights of any third party, including (without limitation) any privacy rights, publicity rights, copyrights, contract rights, or any other intellectual property or proprietary rights.
We are not responsible for mistakes in your Content. Molecule will not be liable for any errors or omissions in any Content.
We expect all Molecule Services users to behave responsibly and help keep this a nice place. Do not do any of these things on the Website:
Do not take any action that infringes or violates other people’s rights, violates the law, or breaches any contract or legal duty you have toward anyone.
Do not post information you know is false, misleading, or inaccurate. Do not do anything deceptive or fraudulent.
Do not run mail lists, listservs, or any kind of auto-responder or spam on or through the Website.
Do not distribute viruses or any other technologies that may harm Molecule’s or the interests of Users of Molecule or otherwise interfere with or disrupt our server.
Do not try to interfere with the proper workings of the Services.
Do not bypass any measures we have implemented to secure the Services.
Do not try to damage or get unauthorized access to any system, data, password, or other information, whether it belongs to Molecule or another party.
Do not take any action that imposes an unreasonable load on our infrastructure or third-party providers. (We reserve the right to determine what is reasonable.)
Do not use any kind of software or device (whether it is manual or automated) to “crawl” or “spider” any part of the Website.
Do not take apart or reverse engineer any Molecule aspect to access source code, underlying ideas, or algorithms.
If the Molecule website contains links you follow to another website, what happens there is between you and a third-party service provider — not us.
We cannot regulate the content of such websites or resources provided by third parties, and we may not be held liable for the content of information or websites linked included in frames. We may not be held liable for any financial or physical damages you may incur due to, or in connection with, the use of such websites or resources.
If the Molecule website contains links you follow to another website, what happens there is between you and a third-party service provider — not us.
Molecule Services are legally protected in various ways, including copyrights, trademarks, service marks, patents, trade secrets, and other rights and laws. You agree to respect all copyright and other legal notices, information, and restrictions in any content accessed through the Website. You also agree not to change, translate, or otherwise create derivative works of the Services.
This Website is presented as-is, without warranties.
You use our Services solely at your own risk. They are provided to you “as is” and “as available” and without warranty, express or implied.
MOLECULE SPECIFICALLY DISCLAIMS ANY AND ALL WARRANTIES AND CONDITIONS OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR A PARTICULAR PURPOSE AND ANY WARRANTIES IMPLIED BY ANY COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE. NO ADVICE OR INFORMATION (ORAL OR WRITTEN) OBTAINED BY YOU FROM MOLECULE SHALL CREATE ANY WARRANTY.

Suppose you do something that results in legal action against us or breaks any of the promises you make in these Terms. In that case, you agree to defend, indemnify, and hold us harmless from all liabilities, claims, and expenses (including reasonable attorneys’ fees and other legal costs) that arise from or relate to your use or misuse of Molecule Services. We reserve the right to assume the exclusive defense and control of any matter otherwise subject to this indemnification clause, in which case you agree to cooperate and help us assert any defenses.
To the fullest extent permitted by law, in no event will Molecule, its directors, employees, partners, suppliers, or content providers be liable for any indirect, incidental, punitive, consequential, special, or exemplary damages of any kind, including but not limited to damages (i) resulting from your access to, use of, or inability to access or use the Services; (ii) for any lost profits, data loss, or cost of procurement of substitute goods or services; or (iii) for any conduct of content of any third party on the Website.
Suppose you do something that results in legal action against us or breaks any of the promises you make in these Terms. We do not oversee events’ performance, and we do not mediate disputes between Users.
Molecule is not liable for any damages or losses related to your use of the Services. We do not become involved in disputes between Users or between Users and any third party relating to using the Services. We do not oversee the performance or punctuality of events. When you use the Services, you release Molecule from claims, damages, and demands of every kind — known or unknown, suspected or unsuspected, disclosed or undisclosed — arising out of or in any way related to such disputes and the Services. All content you access through the Website is at your own risk. You are solely responsible for any resulting damage or loss to any party.
We are located in the Republic of Lithuania, and any disputes with us must be handled under the Republic of Lithuania law.
We at Molecule encourage you to contact us if you have an issue before resorting to the judiciary institutions. In the unfortunate situation where legal action does arise, these Terms (and all other rules, policies, or guidelines incorporated by reference) will be governed by and construed by the laws of the Republic of Lithuania without giving effect to any principles of conflicts of law, and without application of the United Nations Convention of Controls for International Sale of Goods. You agree that any action at law or in equity arising out of or relating to these Terms, or your use or non-use of Molecule Services, shall be filed in the court located in Vilnius, and you at this moment consent and submit to the personal jurisdiction of these courts for the purposes of litigating any such action.
These Terms and the other material referenced in them are the entire agreement between you and Molecule with respect to the Services. They supersede all other communications and proposals (whether oral, written, or electronic) between you and Molecule with respect to the Services and govern our future relationship. Suppose any provision of these Terms is found to be invalid under the law. In that case, that provision will be limited or eliminated to the minimum extent necessary so that the Terms otherwise will remain in full force and effect and enforceable. The failure of either you or Molecule to exercise any right provided for in these Terms in any way will not be deemed a waiver of any other rights.
These Terms are personal to you. You cannot assign, transfer, or sublicense them unless you get Molecule`s prior written consent. Molecule can assign, transfer, or delegate any of its rights and obligations under these Terms without your consent. Molecule will provide you with notice via email or written notice.
